These Terms of Service (these “Terms”) govern your access to and use of the LegacyKey operating system (OS), website, and all related services. By accessing any LegacyKey platform environment — whether as a Member attorney, Advisor, or Client — you agree to these Terms. If you do not agree, do not use the platform.
LegacyKey is not a law firm and does not provide legal services. These Terms are a platform use agreement, not a legal services contract.
These Terms of Service are incorporated by reference into the LegacyKey Member License Agreement. In the event of a conflict between these Terms and the Member License Agreement, the Member License Agreement controls with respect to the attorney-LegacyKey relationship.
1. Definitions
The following terms have the meanings below throughout these Terms:

| OS | The LegacyKey operating system: the multi-tenant SaaS platform comprised of the attorney dashboard, advisor portal, client journey, automated workflow system, training library, and marketing suite. |
| Platform | The LegacyKey OS, websites, and all related services operated by LegacyKey. |
| User | Any individual accessing the Platform in any capacity, including Members, Advisors, and Clients. |
| We / Us / Our | LegacyKey. |
| You | The User accessing or using the Platform. |
2. Acceptance of Terms
2.1 Agreement to Terms
By accessing the Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform as a Member, you have also accepted the Member License Agreement, which governs additional rights and obligations specific to that relationship.
2.2 Updates
We may update these Terms from time to time. We will notify active Members by email or through the OS at least thirty (30) days before material changes take effect. For Advisors and Clients, updated Terms are effective upon posting. Continued use of the Platform after the effective date of any update constitutes acceptance. If you do not accept updated Terms, you must stop using the Platform.
2.3 Eligibility
You must be at least 18 years of age to use the Platform. Members must be licensed attorneys in good standing. Advisors must be professionals operating in a business capacity. Clients must be adults capable of entering into a legal services engagement agreement. We reserve the right to verify eligibility at any time.
3. Platform Access and Accounts
3.1 Account Creation
Member accounts are created through the LegacyKey checkout process at GetLegacyKey.com. Advisor accounts are created by Member attorneys through the OS. Client accounts are created through the Member's unique advisor or direct portal URL. You are responsible for providing accurate information when your account is created and for keeping that information current.
3.2 Credential Security
You are responsible for maintaining the security of your login credentials. You must not share your credentials with any other person. You must notify us immediately at legal@legacykeyprogram.com if you suspect unauthorized access to your account. You are responsible for all activity that occurs through your account, whether or not authorized by you.
3.3 Account Environments
The Platform operates three distinct user environments with different permissions:
Member Environment: Full attorney dashboard access including advisor management, client pipeline tracking, marketing suite, training library, email automation controls, and OS configuration. Accessible only to the licensed Member attorney.
Advisor Environment: Read-only portal showing the advisor's referred client count, client status stages, and advisor-specific marketing materials. Advisors may not modify any record, access attorney-level functions, or view any confidential or privileged legal information.
Client Environment: The client-facing portal through which a client engages the member attorney, accesses the educational workshop, and receives automated communications. LegacyKey collects only name, email address, and phone number from Clients. All other information exchanged in the legal engagement is handled directly by the Member attorney outside the OS.
3.4 Platform Availability
We will use commercially reasonable efforts to maintain Platform availability. We do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to scheduled maintenance, security updates, or events outside our control. Planned maintenance will be communicated in advance where practicable.
3.5 Protective Suspension
LegacyKey may immediately suspend Member’s OS access, without prior notice and without terminating this Agreement, upon any of the following grounds:
- Reasonable suspicion of fraud, misrepresentation, or material misuse of the Platform;
- Use of the LegacyKey Trademark in a manner constituting infringement, material brand dilution, or public disparagement;
- Public conduct or statements creating material reputational harm to LegacyKey or the Program;
- Credible evidence of imminent harm to any user of the Platform;
- Any conduct creating material regulatory or legal exposure for LegacyKey.
LegacyKey will deliver written notice identifying the suspension grounds and, where applicable, the required cure. Member has thirty (30) days from the suspension notice to cure the identified issue. During that period Member’s account remains intact but inaccessible, Member’s Client data remains available for export, and monthly billing continues. If Member cures within thirty (30) days and notifies LegacyKey in writing, access will be restored within five (5) business days of LegacyKey’s confirmation. If Member fails to cure within thirty (30) days, or if the conduct constitutes fraud or willful misconduct, LegacyKey may convert the suspension to termination for cause without further notice, at which point the data export period under Section 8.4 begins. LegacyKey’s right to impose protective suspension does not limit LegacyKey’s right to seek emergency injunctive relief at any time.
4. Platform Features and How They Work
4.1 The Five Doors Client Journey
The LegacyKey OS provides Member attorneys with an automated client journey consisting of five stages through which a referred client progresses from initial engagement to a signed estate plan. These stages are:
Door 1 — Engage: Client accesses the attorney's portal, views the welcome experience, and signs an engagement agreement. The attorney-client relationship is established. The attorney is notified automatically.
Door 2 — Legal Fee: Client receives payment instructions and completes payment of the legal fee directly to the attorney. Workshop access is unlocked upon attorney confirmation of payment.
Door 3 — Workshop: Client views a private educational video workshop hosted by the attorney. Upon completion, the client certifies viewing and receives an automated PDF Certificate of Completion.
Door 4 — Draft: Client receives intake instructions from the attorney. The attorney conducts intake outside the OS using the attorney's own secure systems. The attorney drafts documents and schedules the signing appointment.
Door 5 — Sign: Client attends the in-person signing appointment with the attorney, reviews and signs all documents, and receives a legally effective estate plan.
LegacyKey does not collect, transmit, store, or process any Client estate planning documents or information directly related to Client estate planning documents. All intake, document drafting, legal advice, and legal work occurs outside the OS between the attorney and client directly. The OS facilitates the workflow and communications; it does not handle legal content or payment.
4.2 Automated Communications
The OS sends automated emails and optional SMS messages to clients on the Member attorney's behalf at defined points in the client journey. These include engagement confirmations, payment instructions, workshop completion notifications, intake submission confirmations, appointment reminders, and signing confirmations. All automated communications are sent under the Member attorney's law firm identity. LegacyKey operates as a communications platform only.
4.3 Advisor Portal and Dashboard
The Advisor portal provides a read-only view of the advisor's referred client pipeline. Advisors can see how many clients have been referred, which stage of the client journey each client has reached, and their own advisor-specific portal URL and marketing materials. Advisors cannot modify any data, access attorney communications, view legal content, or access any other Member's environment. Advisor dashboard information is confidential and may not be shared with any third party. Members are responsible for their own compliance with their jurisdiction’s ethics rules and requirements regarding the disclosure of client progress within the LegacyKey process to Advisors. Members will be responsible for incorporating any legally required consents and acknowledgments by the Client to disclosure of information to Advisors in their engagement agreement with the Client.
4.4 Marketing Suite
Members receive access to a stock marketing suite within the OS including branded templates, scripts, client-facing copy, and campaign materials. All stock assets are provided under the LegacyKey Brand Guidelines. Members may customize stock assets within the parameters defined in the Brand Guidelines. Custom-branded marketing suites and a standby digital marketing liaison are available to ENTERPRISE and EXCLUSIVE tier Members as part of the Total Business Integration service.
4.5 Training Library
The OS includes an in-platform video training library covering program methodology, advisor recruitment, client journey management, and platform operation. Training content is proprietary to LegacyKey and may not be downloaded, shared, or reproduced outside the OS.
4.6 Owner Dashboard
The Owner dashboard is accessible only to LegacyKey personnel and provides program-level visibility including active member counts, advisor network statistics, and real-time revenue metrics. Member and Client data is accessible to LegacyKey personnel only to the extent necessary to operate and support the platform.
5. Acceptable Use
5.1 Permitted Uses
You may use the Platform only for its intended purposes: Members to operate their estate planning practices through the LegacyKey Program; Advisors to support their clients' access to estate planning resources; Clients to engage a Member attorney through the client journey.
5.2 Prohibited Conduct
You may not use the Platform to:
Violate any applicable law, regulation, or professional conduct rule;
Provide legal advice, legal services, or legal guidance of any kind if you are not a licensed attorney and the attorney of record for the client in question;
Collect, harvest, or scrape user data from the Platform for any purpose outside your permitted role;
Upload, transmit, or store malicious code, viruses, or any material designed to disrupt, damage, or interfere with the Platform;
Attempt to gain unauthorized access to any part of the Platform, any other user's account, or any system or network connected to the Platform;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Use the Platform to send unsolicited commercial communications, spam, or any communication that violates applicable law;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the OS;
Sublicense, resell, or commercially exploit Platform access without LegacyKey’s express written consent;
Use the Platform in any manner that could damage, disable, overburden, or impair its operation or interfere with any other user's use;
Use the Platform for any purpose that violates the ABA Model Rules of Professional Conduct or applicable state bar rules, including without limitation rules governing attorney advertising, fee-sharing with non-lawyers, and unauthorized practice of law.
5.3 Member-Specific Obligations
In addition to the above, Members must:
Ensure that all Advisors in their network have executed the Advisor Participation Terms before receiving portal access;
Ensure that all Clients receive the Client Disclosure and Consent Notice before engaging through the portal;
Supervise all communications generated through the OS on the Member's behalf and take responsibility for their accuracy and compliance;
Promptly deactivate any Advisor who violates the Advisor Participation Terms or whose conduct creates professional responsibility exposure for the Member;
Maintain current contact and bar information in the OS throughout the membership term.
5.4 Advisor-Specific Obligations
Advisors must comply with all terms of their Advisor Participation Terms at all times while accessing the Platform. Advisor portal access is conditioned on continuous compliance with those terms. Any violation of the Advisor Participation Terms is also a violation of these Terms.
6. User Content
6.1 Member Content
Members may upload content to the OS including firm branding, welcome video content, customized email templates, and other materials. You retain ownership of all content you upload. By uploading content to the OS, you grant LegacyKey a limited, non-exclusive license to host, display, and transmit your content within the OS solely for the purpose of providing the Platform to you and your users.
6.2 Content Standards
All content you upload or transmit through the Platform must:
Be accurate and not misleading;
Comply with applicable attorney advertising rules if it constitutes attorney marketing material;
Not infringe any third party's intellectual property, privacy, or other rights;
Not contain malicious code, prohibited material, or content that violates applicable law.
6.3 Content Removal
We reserve the right to remove any content from the Platform that we reasonably determine violates these Terms, applicable law, or the LegacyKey Brand Guidelines, with or without prior notice. We will notify the relevant Member when content is removed and provide an opportunity to address the issue where practicable.
6.4 No Legal Content Handled by LegacyKey
LegacyKey does not receive, store, process, or transmit estate planning documents, legal intake information, attorney-client communications, or any other legal content. The OS is a workflow coordination and communications platform. All legal work product remains exclusively between the Member attorney and their clients, outside the OS.
7. Intellectual Property
7.1 LegacyKey Ownership
LegacyKey owns all right, title, and interest in and to the Platform, the OS, the LegacyKey trademark and brand assets, the program methodology, the training library, the stock marketing suite, and all associated intellectual property. Nothing in these Terms transfers any intellectual property rights to you. Your use of the Platform does not grant you any license to LegacyKey's intellectual property except as expressly set forth in your Member License Agreement (for Members) or as necessary to use the Platform for its intended purpose (for Advisors and Clients).
7.2 Trademark Use
The LegacyKey name and mark, associated logos, and brand assets are trademarks of LegacyKey. You may not use the LegacyKey trademark or any confusingly similar mark in any manner except as expressly permitted by the Member License Agreement and Brand Guidelines.
7.3 Feedback
If you submit feedback, suggestions, or ideas about the Platform to us, we may use that feedback without restriction or obligation to you. You assign all right, title, and interest in any such feedback to LegacyKey.
7.4 Trademark Monitoring
Members agree to promptly notify LegacyKey of any unauthorized use of the LegacyKey Trademark that comes to Member's attention, and to cooperate with LegacyKey's reasonable efforts to enforce its trademark rights.
7.5 Advisor Trademark Sublicense
Advisors whose member attorney has extended a sublicense per the Member License Agreement may use the LegacyKey name and approved brand assets solely to identify the LegacyKey Program as an optional estate planning resource in client-facing professional communications. All Advisor trademark use is subject to the Brand Guidelines, conditioned on active Advisor Participation Agreement status, and automatically revoked upon portal deactivation. Advisors may not use the Trademark in any manner implying that LegacyKey or any Advisor provides legal services. No trademark rights of any kind are granted to Clients.
8. Third-Party Services and Links
8.1 Payment Processing
Membership fees are processed through Stripe. By completing a purchase you agree to Stripe's terms of service and privacy policy. LegacyKey does not store payment card information. All payment disputes are subject to Stripe's dispute resolution process in addition to any rights you have under the Member License Agreement.
8.2 Email and SMS Delivery
Automated email and SMS communications are delivered through third-party providers. LegacyKey is not responsible for delivery failures caused by third-party provider outages, spam filtering, or carrier issues. SMS communications require client opt-in consent per the TCPA terms described in the Privacy Policy.
8.3 Video Hosting
Attorney workshop videos are hosted through a third-party video platform. Video access within the OS is controlled by LegacyKey. The video hosting provider's terms and privacy policy apply to the underlying hosting service.
8.4 External Links
The Platform may contain links to third-party websites or resources. We do not endorse, control, or take responsibility for any third-party content, products, or services. Your use of any linked third-party service is at your own risk and subject to that party's terms.
9. Disclaimers
9.1 Not Legal Advice
NOTHING ON THE LEGACYKEY PLATFORM CONSTITUTES LEGAL ADVICE. THE OS IS A BUSINESS MARKETING AND COMMUNICATIONS TOOL FOR LICENSED ATTORNEYS. LEGACYKEY DOES NOT PRACTICE LAW. ALL LEGAL SERVICES PROVIDED IN CONNECTION WITH THE PLATFORM ARE PROVIDED SOLELY BY LICENSED MEMBER ATTORNEYS ACTING INDEPENDENTLY UNDER THEIR OWN PROFESSIONAL LICENSES AND RESPONSIBILITIES.
9.2 No Guarantee of Results
LEGACYKEY MAKES NO REPRESENTATION OR WARRANTY THAT USE OF THE PLATFORM WILL RESULT IN ANY PARTICULAR NUMBER OF CLIENT ENGAGEMENTS, REVENUE LEVEL, PRACTICE GROWTH RATE, OR OTHER BUSINESS OUTCOME. RESULTS DEPEND ON NUMEROUS FACTORS OUTSIDE LEGACYKEY'S CONTROL INCLUDING MARKET CONDITIONS, ATTORNEY EFFORT, ADVISOR ENGAGEMENT, AND INDIVIDUAL CLIENT DECISIONS.
9.3 No Bar Compliance Warranty
LEGACYKEY MAKES NO REPRESENTATION THAT USE OF THE PLATFORM COMPLIES WITH THE PROFESSIONAL RESPONSIBILITY RULES OF ANY PARTICULAR JURISDICTION. MEMBERS ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY ASSESSING AND ENSURING COMPLIANCE WITH ALL APPLICABLE RULES OF PROFESSIONAL CONDUCT.
9.4 Platform Provided As-Is
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. LEGACYKEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEGACYKEY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LEGACYKEY'S TOTAL LIABILITY TO ANY USER ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO LEGACYKEY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) FIVE HUNDRED DOLLARS ($500) FOR ADVISORS AND CLIENTS.
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF CERTAIN WARRANTIES OR DAMAGES. IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless LegacyKey and its members, managers, officers, employees, contractors, and successors from and against any third-party claim, loss, damage, liability, or expense (including reasonable attorneys' fees) arising out of or related to:
Your violation of these Terms;
Your violation of any applicable law or professional conduct rule;
Your use of the Platform in a manner not authorized by these Terms;
Any content you upload or transmit through the Platform;
For Members: any claim by a Client or Advisor arising from your legal practice or your use of the Platform;
For Advisors: any claim arising from your conduct in presenting the Platform to clients or your use of the advisor portal.
12. Term and Termination
12.1 Term
These Terms are effective when you first access the Platform and continue until your access is terminated. For Members, the term is governed by the Member License Agreement. For Advisors and Clients, these Terms apply for as long as you have access to the Platform.
12.2 Termination by LegacyKey
We may terminate or suspend your access to the Platform at any time for violation of these Terms, the Member License Agreement, or applicable law, or for conduct that we reasonably determine creates harm to users, the Platform, or the LegacyKey Program. Member termination rights and obligations are governed by the Member License Agreement.
12.3 Effect of Termination
Upon termination of your access, your right to use the Platform ceases immediately. For Members, the data export process described in the Privacy Policy and Member License Agreement applies. Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 14 (General) survive termination.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles.
13.2 Informal Resolution
Before initiating any legal proceeding, you agree to make a good-faith effort to resolve any dispute informally by providing written notice to us at legal@legacykeyprogram.com to describe the issue and attempt informal resolution. We will respond within fourteen (14) days.
13.3 Binding Arbitration — Members
Disputes between LegacyKey and Members that cannot be resolved informally are governed by the dispute resolution provisions of the Member License Agreement, which provide for mediation followed by litigation in St. Joseph County, Indiana.
13.4 Advisors and Clients
Disputes between LegacyKey and Advisors or Clients that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in South Bend, Indiana. The arbitrator's decision is final and enforceable in any court of competent jurisdiction. You waive the right to participate in class action litigation or class-wide arbitration.
13.5 Exceptions
Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction at any time to protect intellectual property, confidential information, or to prevent irreparable harm. This right is not subject to the informal resolution or arbitration requirements above.
14. General Provisions
14.1 Entire Agreement
For Members, these Terms together with the Member License Agreement, Privacy Policy, and Brand Guidelines constitute the entire agreement between the parties regarding the Platform. For Advisors, these Terms together with the Advisor Participation Terms constitute the full agreement. For Clients, these Terms together with the Client Disclosure and Consent Notice constitute the full agreement. In the event of conflict, the Member License Agreement controls as between LegacyKey and Members.
14.2 Severability
If any provision of these Terms is found unenforceable, the remainder continues in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.
14.3 No Waiver
Our failure to enforce any provision of these Terms on any occasion does not waive our right to enforce that provision in the future.
14.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to a successor by merger, acquisition, or sale of substantially all assets.
14.5 Force Majeure
We are not liable for any delay or failure to provide the Platform caused by events outside our reasonable control, including natural disasters, public health crises, government actions, infrastructure failures, or third-party service outages. We will notify you promptly of any such event and resume service as soon as reasonably practicable.
